Preparing the formation of a limited liability company

The following factors must be taken into account during preparation:

1. Company name (can basically be chosen freely, but must correspond to the facts and must not give rise to any deception)
   
2. Purpose (an appropriate purpose for the GmbH must be defined in your own words)
   
3. Domicile (registered office of the GmbH)
   
4. Shareholders (Specify who all should be involved in the GmbH and who is authorized to sign)
   
5. Share capital (must be at least CHF 20,000, with each share having a nominal value of at least CHF 100)
   
6. Managing director and chairman (appoint a managing director; if there is to be more than one managing director, a chairman must also be appointed)
   
7. VAT (If the GmbH is expected to achieve a turnover of more than CHF 100,000 per year, it is subject to VAT)
   
8. Pension fund assets (it is not possible to withdraw pension fund assets in advance when setting up a GmbH or AG)
   
9. Advertising materials (creation of company logo, business cards and stationery)

Foundation phase

As soon as the preparatory phase is complete, the company can be founded. There are also a few points to consider here:

1. Formation (Calculate a quote for the formation of your GmbH and enter the necessary data into the system)
   
2. Notarization (sign the required documents and have your signature notarized)
   
3. Pay in the share capital (transfer the share capital to a blocked account at a bank and send the original capital payment confirmation to Startups.ch)
   
4. Sending all founding documents to Startups.ch (Send all founding documents to Startups.ch by registered mail, after which Startups.ch will prepare further documents and send them to the relevant commercial register office)
   
5. Social insurance (After entry in the commercial register, the AHV compensation fund will contact you)
   
6. VAT registration (After receiving the extract from the commercial register, we will prepare the VAT registration)
   
7. Advertising materials & Internet domain (You can now order your advertising materials and register your Internet domain)
   
8. Fiduciary services (If you need support with bookkeeping or tax accounting, Startups.ch provides you with a broad network of fiduciary partners)
   
9. Brand protection (Startups.ch helps you to protect your company name and logo)
