The New Swiss Transparency Register at a Glance

With the Federal Act on the Transparency of Legal Entities (TJPG), Switzerland is introducing a central register of beneficial owners. The law enters into force on 1 October 2026. The register records the natural persons who ultimately control a company. It is maintained by the Federal Office of Justice and is not publicly accessible – only the authorities designated by law may consult it.

Who Is Required to Report?

Most Swiss companies are affected, in particular:

  • public limited companies (AG/SA)
  • limited liability companies (GmbH/Sàrl)
  • cooperatives
  • certain foreign legal entities with a sufficient connection to Switzerland

A simplified reporting procedure is available for straightforward structures – for example, a GmbH whose shareholders are exclusively natural persons.

After registration in the commercial register, the company has one month to report its beneficial owners. Subsequent changes must also be reported within one month.
