TJPG: The Essentials in Brief

The Federal Act on the Transparency of Legal Entities (TJPG) enters into force on 1 October 2026. It requires Swiss companies to identify, document and report their beneficial owners to the federal government's central transparency register. Your Obligations at a Glance

  • Identify: determine which natural persons ultimately control the company.
  • Document: collect evidence and supporting documents on the control exercised in a structured way.
  • Report: submit an electronic report to the transparency register, generally via EasyGov.
  • Keep up to date: the register is based on self-declaration – changes must be reported on an ongoing basis.

The Applicable Deadlines

After registration in the commercial register, the company has one month to report its beneficial owners. Changes to facts already reported must also be notified within one month. Changes in shareholdings must be reported when they cause relevant thresholds to be crossed, upwards or downwards.

Costs and Penalties

Registration, amendment and deletion in the transparency register are free of charge. However, anyone who intentionally violates the reporting obligations risks a fine of up to CHF 500,000. A clean, well-documented report protects the board of directors and management from personal liability.
